Evernorth’s Nasdaq Listing Exposes $677M Valuation Gap Amid XRP Treasury

1

Evernorth began trading on the Nasdaq under the ticker XRPN on Monday, October 12, holding approximately 473 million XRP and $300 million in gross cash. However, its XRP treasury was valued at approximately $677 million based on the closing reference price, a figure significantly lower than the more than $1 billion in funding initially reported.

The listing provides a brokerage route for XRP exposure, but the discrepancy between the original pitch and the closing valuation highlights a central trade-off: easier access to equity markets comes with token-price risk, a thin float, and the potential for shareholder dilution.

The company completed its business combination with SPAC Armada Acquisition Corp. II on Friday, October 9. The $677 million treasury valuation is based on an XRP price of $1.43, compared to $2.37 when the deal was signed in October 2025, representing a 40% decline between those reference points.

A 473 million XRP treasury was already central to market expectations ahead of the listing; the closing price demonstrates how quickly the underlying asset’s value can alter the equity narrative.

XRPN Offers XRP Exposure, Not a Proxy to Track the Token

Investors can purchase XRPN through a regular brokerage account without directly holding XRP. This convenience does not make the stock equivalent to spot XRP: the shares represent a company with cash, operating plans, and capital-market obligations, meaning their market price can diverge from the value of the assets on its balance sheet.

Evernorth falls into the digital asset treasury (DAT) category. A key metric for these companies is mNAV, which compares with the net value of their crypto and other assets.

When shares trade above net asset value, issuing stock can raise capital at a premium to buy more tokens; when shares trade below it, new issuance can dilute existing holders by reducing each share’s claim on the business.

The SPAC transaction left XRPN with a particularly narrow starting float. Approximately 80.3% of Armada’s public shareholders, representing 18.5 million shares, redeemed their shares at roughly $10.58 per share, withdrawing approximately $195 million before closing. This left around 4.5 million original public shares available to trade, a small pool in which relatively modest orders can produce outsized price moves.

The trading history surrounding the merger illustrates this effect. XRPN reached an intraday high of $53 on October 2, closed that Friday at $39.42, and stood at $17.09 on October 9, the merger-closing date. On its first Nasdaq session, the stock briefly approached $19 before falling to $16.64 by midday.

Ownership structure adds another layer to the company. Filing data cited in the source indicates that SBI Holdings holds 39.9% of voting shares, Arrington Capital’s fund holds 19.9%, and Ripple co-founder Chris Larsen holds a 9.9% interest. Ripple and its affiliates are capped at 9.9% of voting power; Ripple, a Larsen-linked trust, and Arrington’s fund have six-month lock-ups preventing sales until April 2027.

Treasury News and XRP Price to Determine the Next Test

Evernorth is not presenting itself as a passive vault. Its stated plans include yield strategies and operating validators on the XRP Ledger, with the aim of increasing the XRP represented by each share. The company named Hugo Jeandesboz, formerly co-chief investment officer at Coinbase Asset Management, to lead that strategy on Monday, October 12.

These initiatives introduce execution risk alongside the obvious exposure to XRP. Yield strategies can involve protocol and operational risks, while expenses, future equity issuance, and the company’s ability to manage its assets all affect what shareholders ultimately own.

Evernorth’s $300 million in gross cash provides a separate pool of capital, but the figure is before transaction expenses and does not erase the valuation sensitivity of a treasury dominated by XRP.

This distinction matters for investors tracking the XRP ecosystem’s company-specific catalysts. A higher XRP price could lift the value of Evernorth’s holdings, but it would not by itself establish that XRPN trades at a fair mNAV or that management can grow XRP per share. Conversely, a discount to net asset value could constrain fundraising even if the company continues to hold a large token reserve.

Nasdaq trading converts Evernorth’s XRP strategy into a publicly priced equity, with the resulting premium or discount visible in XRPN rather than only in private fundraising. The next scheduled public-facing milestone is the company’s planned Nasdaq closing-bell ceremony on Wednesday, October 14; its warrants trade separately as XRPNW and give holders the right to buy shares at $11.50 each.
